Terms of Sale

These terms apply to the sale of honey, related products and packing services by Family Foods & Healthcare Ltd (company no. 07985252) trading as bulkhoneyco("Seller", "we", "us") to business customers ("Buyer", "you"). They override any terms put forward by the Buyer unless we expressly agree otherwise in writing.
These are B2B trading terms — sales are not made to consumers. By placing an order you confirm you are acting in the course of a business.
1. Quotes & orders
- Quotes are valid for 14 days unless otherwise stated and are subject to honey availability at the time of order confirmation.
- An order is accepted only when we confirm it in writing (email is sufficient). Until then, no contract exists.
- Specifications, MGO/UMF grades, pack sizes and origin details are confirmed at order acceptance and recorded in the accompanying documentation pack.
2. Price & payment
- Prices are quoted in GBP unless otherwise agreed and are exclusive of VAT, duties and freight unless explicitly stated.
- For new accounts, payment is required pro forma before dispatch. Credit terms are available subject to references and credit checks.
- Standard credit terms (where granted): payment within 30 days of invoice date.
- Late payments accrue interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
- We reserve the right to suspend deliveries on overdue accounts.
3. Delivery
- Standard UK lead time: most stock orders are dispatched within 48 hours of confirmation, subject to availability.
- Delivery dates are estimates given in good faith. We are not liable for delays caused by carriers, customs, weather or other matters outside our reasonable control.
- Risk passes to the Buyer on delivery to the agreed address (or, for Ex-Works terms, on collection by the Buyer's nominated carrier).
- Title to the goods passes only when payment in full has been received. Until then we may, on reasonable notice, recover unpaid goods.
- International shipments: incoterms and documentation requirements are agreed at order acceptance.
4. Specifications & quality
- All honey is supplied with a Certificate of Analysis from an accredited laboratory and a Declaration of Origin.
- Honey is a natural product. Crystallisation, colour variation within published ranges, and minor batch variation are normal and not defects.
- Where a bespoke specification is agreed in writing, we test against it before dispatch.
- Buyer is responsible for ensuring the specification is suitable for its intended end use, including any onward labelling, market-specific regulatory requirements and end-customer claims.
5. Inspection & claims
- Buyer must inspect goods on delivery. Any visible damage or shortfall must be noted on the delivery note and reported to us in writing within 3 working days.
- Latent defects must be reported within 14 days of delivery, accompanied by retained sample and supporting evidence.
- Our liability for defective goods is limited at our option to replacement or refund of the price paid for the affected portion.
6. Warranties & product information
- We warrant goods conform to the agreed specification at the point of dispatch.
- Honey is not suitable for infants under 12 months of age due to the risk of infant botulism. The Buyer is solely responsible for ensuring this warning, together with any additional warnings required for vulnerable groups (including immunocompromised consumers and those advised by a healthcare professional to avoid raw or unpasteurised foods), and any allergen statements relating to bee-derived products, are carried on consumer-facing retail packaging in line with applicable food labelling rules in the destination market.
- Manuka MGO/UMF grades are tested by accredited methods at point of supply. Buyer is responsible for any onward grading claims under UMFHA or other certification schemes.
- We do not act as the Buyer's regulatory authority. We provide accurate technical and analytical data; Buyer is responsible for compliance in its market.
7. Insurance
Family Foods & Healthcare Ltd holds product liability insurance. A summary or certificate is available on request for procurement and supplier-onboarding purposes.
8. Limitation of liability
Nothing in these terms limits or excludes either party's liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of section 12 of the Sale of Goods Act 1979; or any other liability that cannot lawfully be excluded.
Subject to that:
- We are not liable for any indirect, special or consequential loss, including loss of profits, anticipated savings, business, goodwill, contracts, opportunity or reputation.
- Our total liability arising under or in connection with each contract is capped at the price paid by the Buyer for the goods giving rise to the claim.
9. Force majeure
Neither party is liable for delay or failure to perform caused by events outside its reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, industrial action, fire, flood, supply-chain disruption or failure of carriers.
10. Confidentiality & supplier identity
We protect the identity of our beekeeping co-operatives and producer partners. Country of origin, region and harvest window are disclosed in documentation; specific producer identities are held confidentially. Both parties agree to keep commercially sensitive information shared during quoting and supply confidential.
11. Termination
Either party may terminate a contract on written notice if the other commits a material breach which is not remedied within 14 days, becomes insolvent, or enters administration or liquidation. Termination does not affect rights or obligations accrued before the termination date.
12. Governing law
These terms and any contract formed under them are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the English courts.
